I'm going to take a stab at helping you with your modem, even though I don't
know your modem, specifically.  Here's what I infer from what you said.

Your internal modem card is on COM3.  Lapdos II does not work when the modem is
installed.  Lapdos II does work when the modem is not installed.  This tells me
that Lapdos II is runing off of COM1.  COM3 and COM1 share interrupt IRQ3.
Your modem is "probably" set for IRQ3 COM1, not IRQ3 COM3, thus it's in
conflict with Lapdos II operations.  Of course, you don't have the modem manual
so can't varify the configuration of the jumpers.

Solution #1) Given the above possibility, reinstall your modem and assume it's
COM1 or 3, reconfigure whatever you have in COM2 to COM4, and run Lapdos II off
of COM2, i.e. LAP/2.

Solution #2) Take your modem down to your local "geek" store and have the
"geek-tech" look at it.  Geeks live at the event-level, might understand your
modem's jumper configurations, and might be able to set your modem to IRQ4 COM2
or COM4.
